1. Who you are dealing with
ShareCert is owned and operated by Fat Dog Labs Pty Ltd, a company registered in Australia and based in Victoria (we, us or our). These terms govern your use of this website, its guides, examples and certificate generator.
Read these terms before using the generator. By creating a PDF, you agree to them. If you do not agree, do not create a PDF. If you act for a company, firm or other organisation, you confirm that you have authority to act on its behalf and accept these terms for that use.
2. A document tool, not professional advice
ShareCert is a free document-formatting service. It combines your entries with a layout, general prompts and certain standard notices. It is not a law firm, accountant, financial adviser, company registry, transfer agent or electronic-signature service. Using it does not create an adviser–client, fiduciary or agency relationship with us.
We do not issue or transfer shares or membership interests, admit members, obtain approvals or consents, maintain a register or ledger, make filings, verify ownership or confirm signing authority. A certificate generated here does not carry out those actions or establish that they occurred.
Guidance, examples, validation checks and generated notices are not a complete or current statement of every applicable law. Passing a check or downloading a PDF is not our approval of its accuracy, validity, enforceability, tax treatment or suitability. Sample details and wording are illustrative and must not be treated as instructions for a real transaction.
3. Your responsibilities
You are responsible for deciding whether the service is appropriate and for obtaining qualified advice where needed. Before signing, delivering or relying on a certificate, you must:
- Have authority to prepare the document and use all information and wording entered, including information about clients and other people.
- Use accurate, complete and current company records, including the correct entity, jurisdiction, holder, quantity, class, dates and payment details.
- Ensure the underlying issue or transfer, approvals, records, consents and filings have been properly dealt with.
- Confirm all applicable rights, legends, restrictions and signing requirements. Choosing not to include extra pages does not remove a legal requirement.
- Check every page of the downloaded PDF for errors, missing text and layout problems, and arrange the required signatures.
- Keep your own final records and secure backups. ShareCert is not a storage, audit-trail or certificate-verification service.
If you identify an error or cannot verify a material detail, do not use the document until it is resolved. We have not agreed to monitor your company, track changes in law for you, update previously downloaded documents or notify certificate recipients.
4. Work for clients and other recipients
Law firms, accounting firms and other authorised advisers may use ShareCert for client work. You retain responsibility for your professional obligations, supervision, confidentiality and advice. Do not represent that we have reviewed, certified or endorsed your work, your client or a generated certificate.
Recipients do not become our clients merely because you give them a PDF. We do not verify a certificate’s authenticity or the value or legal status of the interest it describes. These terms do not remove any rights a recipient has under applicable law.
5. Permitted use and intellectual property
You retain the rights you have in your information and supplied wording. You may download, edit, print, sign and distribute your generated PDFs for lawful personal and commercial purposes, including client work. To the extent we hold rights in the layout or standard content incorporated into those PDFs, we grant you a non-exclusive, worldwide, perpetual, royalty-free licence for those purposes. You do not need to add ShareCert branding.
Our website, branding, original content and software remain owned by or licensed to us. The PDF permission does not authorise copying or reselling the website, passing off our service as your own or using our trademarks to imply endorsement. Rights under third-party or open-source licences, and uses permitted by law, are unaffected.
You must not create fraudulent, misleading or unauthorised certificates; infringe privacy or intellectual-property rights; introduce malicious code; bypass access or security controls; or disrupt the service. Reasonable authorised automation and accessibility tools are permitted, but must not bypass required human confirmation or imply that we have approved a document.
6. Information, devices and third-party services
The generator processes certificate fields in your browser. It does not upload those fields or keep a server copy of your PDF. Your browser, device, extensions, downloads, backups and chosen sharing methods are outside our control. Do not put certificate details in website URLs or send unnecessary confidential material in an enquiry.
Hosting, access and linked services have their own terms and practices. A link does not mean we endorse a third party’s advice or guarantee its service. Our privacy policy explains technical and enquiry information; it does not give us ownership of your certificate data or waive your privacy rights.
7. Availability, suspension and changes
We do not promise continuous availability, a particular support response time or indefinite provision of a free service. Subject to your non-excludable rights, we may change, suspend or discontinue features for reasonable security, legal, operational or commercial reasons.
We may restrict access where reasonably necessary to address suspected fraud, harmful automation, security risks or a material breach of these terms. We will give notice and an opportunity to resolve the issue where reasonably practicable; urgent action may be needed without notice. You may stop using ShareCert at any time without a termination charge.
We will give reasonable advance notice of a material reduction or discontinuation where practicable. Changes to these terms apply prospectively, not to an existing claim or earlier use. If you do not accept revised terms, stop using the generator. Your permission to use PDFs already generated continues.
8. Consumer rights and limits on liability
Nothing in these terms excludes, restricts or modifies any guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law. These protections take priority over any other wording in these terms.
Subject to those protections, we make no additional promise that the service or a document will be error-free, meet a particular transaction’s requirements or achieve a legal, financial or business outcome. We are not responsible for loss to the extent caused by inaccurate or unauthorised inputs, your unlawful use, your changes to an output, or failure to complete actions that are expressly outside the service’s scope.
To the extent permitted by law, neither party is liable to the other for loss that was not reasonably foreseeable when the service was used. A party claiming loss must take reasonable steps to avoid or reduce it. We do not exclude responsibility for our own negligence, fraud, wilful misconduct or breach of a non-excludable obligation.
Where the law permits a remedy for breach of a service guarantee to be limited to supplying the services again or paying the cost of having them supplied again, our liability is limited to one of those remedies at our election, but only where that limitation is fair and reasonable and legally available. It does not apply to services ordinarily acquired for personal, domestic or household use or consumption, or otherwise override a remedy that cannot be limited.
9. Claims caused by unlawful or unauthorised use
If you use ShareCert for business or professional purposes, you indemnify us for reasonable losses and legal costs arising from a third-party claim, but only to the extent directly caused by your fraud, knowing infringement of another person’s rights, or deliberate creation or distribution of a certificate you know you are not authorised to create or distribute.
This indemnity does not cover loss caused or contributed to by our negligence, breach of these terms, fraud or wilful misconduct, or amounts that cannot lawfully be recovered. We must notify you promptly, take reasonable steps to minimise loss and let you reasonably participate in responding to the claim. We will not settle a claim at your expense without your consent, which must not be unreasonably withheld. Amounts claimed must be reasonably substantiated, not simply demanded.
10. Disputes and governing law
Please contact us with the relevant facts so we can try to resolve a concern. This is not a compulsory dispute process and does not stop you contacting a regulator, seeking urgent relief or exercising statutory rights.
These terms are governed by Victorian and applicable Commonwealth law. Courts in Victoria and competent federal courts have non-exclusive jurisdiction. Mandatory protections and any right to bring proceedings elsewhere under the law applicable to you remain unaffected.
If a provision is invalid or unenforceable, it is severed to that extent and the rest continue where they can operate independently. A failure or delay in enforcing a right is not a waiver. Provisions about intellectual property, liability and accrued claims continue after you stop using the service to the extent relevant.
